1. General provisions and conclusion of the agreement

1.1. The Contractor is LABORATORIYAI TEKHNOLOGIYAHOI ITTILOOTI LLC (IT Lab). The Customer is a legal entity, an individual entrepreneur or an individual purchasing Labmart for business activity.

1.2. This document is a public offer (Article 503 of the Civil Code of the RT). Acceptance is full payment of the invoice issued by the Contractor under this offer. From receipt of payment the agreement is deemed concluded in writing. A request on the website, negotiations and viewing the demo do not constitute acceptance.

1.3. The invoice states the amount, the part of it that is the licence fee and the launch fee, and the store address (domain). Terms separately agreed by the parties in writing, including by email, prevail over the offer.

1.4. If the Customer purchases Labmart as a consumer for personal needs, the consumer protection legislation of the RT applies to them.

2. Subject of the agreement and licence

2.1. Labmart is a white label online store platform: the store runs under the Customer's brand and domain. The Contractor grants a non-exclusive licence to Labmart for one store of the Customer, launches the store and provides service (hosting, technical support, updates).

2.2. Licence terms:

  • permitted use — working with the storefront and admin panel over the internet: configuring the store, listing products, receiving and processing orders, giving access to the Customer's staff;

  • territory — all countries where such use is lawful;

  • term — the term of the agreement;

  • fee — the part of the one-time payment stated in the invoice (clause 1.3).

2.3. The Customer is not granted: the source code, access to the server or database, or the right to copy Labmart, install it outside the Contractor's infrastructure, sublicense it or transfer it to third parties. Rights not expressly granted remain with the Contractor.

2.4. Labmart runs on the Contractor's infrastructure. Before payment the Customer can review the demo: storefront — https://demo.labmart.tj/, admin panel — https://demo.labmart.tj/admin.

3. Price and payment

3.1. The licence and launch cost TJS 5,000 as a one-time payment. Included: the licence, store setup and launch, domain connection, the first month of service and, if the Customer has no logo, the free creation of a simple logo.

3.2. From the second month, service costs TJS 500 per month and includes store hosting, technical support, backups and updates. Not included: the domain, paid third-party services and increased load — these are agreed separately.

3.3. Each next month of service is paid in advance — no later than the last day of the current paid month. For example, if the first (included) month ends on 15 November, TJS 500 for 15 November–15 December must be paid by 15 November. Payment is made by invoice to the Contractor's account in somoni. A non-resident Customer may pay in foreign currency at the National Bank of Tajikistan rate on the invoice date where currency legislation permits. The Customer pays its own bank's fees.

3.4. Prices include the taxes payable by the Contractor unless the invoice states otherwise. Labmart takes no commission on the Customer's sales; banks and payment systems set their own fees.

4. Domain

4.1. The Customer buys and renews the domain with a registrar of its choice in its own name and pays the registrar directly. The Contractor helps select and buy the domain and connects it to the store.

4.2. The domain belongs to the Customer and is under its control; the Contractor does not withhold the domain under any circumstances. The Customer monitors the domain renewal date.

5. Store launch

5.1. A standard launch takes about one working hour after payment and receipt of the required materials from the Customer (name, logo if available, contacts, domain access). The Customer connects online payments itself: it signs an agreement with the bank and enters the terminal details in the admin panel; this is not part of the launch.

5.2. The launch is complete when the Customer receives the address of the working store and access to the admin panel. Within 5 working days the Customer may report non-conformities, which the Contractor fixes free of charge.

5.3. The Customer configures the store through the admin panel: design, products, prices, contacts, payment methods and integrations (Alif, Telegram, Labbay and others). Labmart is a single platform for all stores: no custom development or code changes are made for an individual Customer. The Contractor reviews Customers' feature suggestions and, if it finds them useful, adds them to general updates for all stores (clause 6.3). The Customer adds products to the store itself. At a grocery store's request, the Contractor uploads a ready-made product catalogue to it free of charge.

6. Service and updates

6.1. The first month of service starts on the date the store is handed over. The Contractor states its end date at handover.

6.2. Technical support covers keeping the store running, fixing bugs and resolving failures. Support accepts requests by email or messenger 24/7, including weekends; the Contractor starts work within 24 hours of the request. New features appear only in general updates (clause 6.3).

6.3. The Contractor installs updates and new versions of Labmart for all stores with active service at no extra charge, preserving data and settings. The Contractor gives advance notice of planned downtime.

6.4. The Contractor regularly backs up store data and takes reasonable measures to keep the store running without interruption.

7. Non-payment, suspension and deletion

7.1. If the monthly payment is not received on time, the Contractor may suspend the store and sends the Customer an email notice stating the debt and the store deletion date.

7.2. If the debt is not paid within 7 calendar days of suspension, the Contractor may terminate the agreement and delete the store and its data. Paying the debt before deletion restores the store.

7.3. Before deletion the Customer may request an export of its data (products, orders, buyers) in CSV or Excel format. Requested data is not deleted until the export has been delivered to the Customer.

7.4. Deletion is final: the store and its data cannot be restored. Reconnection is treated as a new connection at current prices. The domain remains with the Customer.

8. Personal data and confidentiality

8.1. With respect to the data of store buyers, the Customer is the database owner and the Contractor is the operator processing it under an agreement with the owner, as defined by the RT Law "On Personal Data Protection". The Contractor processes this data only to operate the store.

8.2. Buyers' consent to the collection and processing of their data is collected in the store: Labmart provides a standard data processing policy and a mandatory consent checkbox at checkout, and the time of consent is saved with the order. As the database owner, the Customer is responsible for this policy: it keeps its contact details in the store settings up to date and informs buyers of services it has connected itself if they are not listed in the policy.

8.3. The Contractor keeps data confidential and protects it from unauthorised access, does not sell it and does not use it for its own purposes. The Contractor informs the Customer of any detected breach without delay.

8.4. When a buyer requests their data, the Contractor helps the Customer prepare a response within 2 working days, so that the Customer meets the 3 working days set by law.

8.5. Store data is stored on servers outside the Republic of Tajikistan (currently in the Netherlands); the Contractor notifies the Customer in advance of any change of country. By accepting the offer, the Customer agrees to such storage and obtains buyers' consent to the cross-border transfer of their data, for example in its store's data processing policy. After the agreement ends, the data is deleted, except information the Contractor must keep by law.

8.6. The parties keep each other's non-public information confidential and disclose it only on a request based on law.

9. Restrictions

9.1. The Customer may not copy Labmart, circumvent its protection, attempt to access the source code, server or other customers' data, use the store for unlawful activity or resell access. Decompilation is allowed only where expressly permitted by copyright law.

9.2. In case of a breach, the Contractor warns the Customer and gives 5 working days to remedy it, after which it may suspend access. Where security is at risk, access may be restricted immediately with notice to the Customer.

10. Liability and force majeure

10.1. The parties are liable for breach of the agreement under the legislation of the RT.

10.2. The Customer is the seller to the store's buyers. It is responsible for the goods, prices and information in the store, required licences and permits, taxes, fiscal receipts and returns to buyers.

10.3. The Contractor is not liable for the Customer's commercial results, for services the Customer connected itself (banks, messengers, domain registrars) or for lost profit. The Contractor's liability is limited to the amount paid by the Customer over the last 12 months; the limit does not apply to intentional breach.

10.4. The parties are released from liability if performance was prevented by force majeure — circumstances that are extraordinary and unavoidable in the given conditions. The affected party notifies the other within 5 working days. If such circumstances last more than 60 days, either party may terminate the agreement.

11. Withdrawal from the agreement and refunds

11.1. The Customer may withdraw from the agreement at any time by notifying the Contractor by email. Payment for prepaid months of service that have not started by the date of the notice is refunded in full.

11.2. If the Customer withdraws before launch, payment is refunded less the cost of work already done. After a proper launch, the licence and launch fee is non-refundable.

11.3. If a defect arose through the Contractor's fault, the Customer may demand that it be fixed, a price reduction or a refund.

11.4. The Contractor may withdraw from the agreement other than for the Customer's fault by giving at least 30 days' notice, refunding payment for the period not served and delivering a data export.

11.5. Refund requests are accepted at info@itlab.tj. A confirmed amount is refunded within 10 working days to the payer's account.

12. Changes to the offer, governing law and disputes

12.1. The Contractor may change the terms of the offer by publishing a new version on this page. A new version takes effect 7 calendar days after publication and from that date applies to all Customers, including those who entered into the agreement under earlier versions. A change in the monthly price takes effect no earlier than 14 calendar days after personal notice to the Customer.

12.2. The Contractor notifies existing Customers of a new version by email. A Customer who disagrees with it may, before it takes effect, withdraw from the agreement under clause 11.1 and receive a data export. Continued use of Labmart or payment after the new version takes effect constitutes acceptance of it. A new version has no retroactive effect: paid periods are not recalculated.

12.3. The agreement is governed by the legislation of the Republic of Tajikistan. Disputes are settled by negotiation; a written claim is answered within 15 working days. An unresolved dispute is heard by the court at the Contractor's location in Dushanbe.

12.4. Notices are sent to the email the Customer provided at payment and to info@itlab.tj; messengers are used in addition. The main text of the offer is Russian, the English text is a translation; in case of discrepancy the Russian text prevails.
